1. Introduction

Phirly ("we", "our", or "the platform") is a peer-to-peer online marketplace that allows registered users to list, discover, and exchange goods and services locally across India. These Terms & Conditions ("Terms") apply to all visitors, buyers, sellers, and other users ("you") who access or use Phirly.

2. Acceptance of terms

By accessing or using Phirly — including browsing listings, creating an account, posting a listing, or contacting a seller — you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please do not use the platform.

We may update these Terms from time to time. Continued use of the platform after changes are posted constitutes your acceptance of the revised Terms.

3. Marketplace intermediary role

Phirly is an intermediary platform. We connect buyers and sellers but we are not a party to any transaction between them. We do not own, inspect, or guarantee any listed item or service. We are not responsible for the quality, safety, legality, or accuracy of listings, nor for the ability of sellers to sell or buyers to pay.

All transactions are between the buyer and the seller directly. Phirly does not process payments or hold funds on behalf of any user.

4. Eligibility

• You must be at least 18 years old, or have the consent of a parent or guardian, to use Phirly.
• You must provide accurate and truthful information when creating an account.
• You must not have been previously banned or suspended from the platform.

5. Account responsibilities

You are responsible for maintaining the confidentiality of your account credentials. Never share your OTP with anyone, including people claiming to be Phirly staff. We will never ask for your OTP. You are responsible for all activity that occurs under your account.

If you believe your account has been compromised, contact us immediately through our Help & Support portal.

6. Listing responsibilities

Sellers are solely responsible for their listings. By posting a listing you confirm that:

• You own the item or have the right to sell it.
• The listing description, photos, and price are accurate and not misleading.
• The item is not prohibited under these Terms or applicable law.
• You will honour confirmed deals and meet buyers as arranged.

7. Prohibited content and items

The following are strictly prohibited on Phirly. Listings containing any of the below will be removed and the account may be suspended or permanently banned:

• Weapons, firearms, ammunition, and explosives
• Illegal drugs, narcotics, and controlled substances
• Counterfeit, fake-branded, or replica products
• Stolen goods
• Adult or sexually explicit content or services
• Hate speech, discriminatory material, or content promoting violence
• Fake currency, forged documents, or identity documents
• Financial scams, pyramid schemes, or fraudulent investment schemes
• Fake job offers designed to extract money from applicants
• Any item whose sale is prohibited under Indian law

8. Buyer responsibilities

• Inspect items in person before completing a transaction wherever possible.
• Do not make advance payments without verifying the seller and seeing the item.
• Verify payment confirmations independently — do not accept screenshots as proof of payment.
• Report suspicious listings or sellers through our Report Abuse page.

9. Seller responsibilities

• Respond to buyer inquiries honestly and in a timely manner.
• Do not misrepresent an item's condition, age, or features.
• Do not create duplicate listings for the same item to manipulate visibility.
• Confirm the handoff on the platform once a transaction is completed.
• Comply with applicable tax obligations. Phirly does not collect or remit GST on your behalf.

10. Messaging and communication

Any communication between users must be lawful, respectful, and relevant to the transaction. Do not use the platform's messaging features to send spam, phishing links, threats, or unsolicited promotional content. Do not attempt to move conversations off-platform to avoid accountability.

11. Fraud and scam disclaimer

Phirly takes fraud seriously and actively moderates listings, but we cannot guarantee that every listing or user is legitimate. You are responsible for exercising caution in all transactions. Read our Safety Tips before meeting a stranger or making any payment. If you encounter a suspected scam, report it immediately.

12. Intellectual property

The Phirly brand, logo, and platform design are owned by us. By posting content on Phirly (photos, descriptions, listings), you grant us a non-exclusive, royalty-free licence to display and distribute that content in connection with the platform. You retain ownership of your content. Do not post content you do not own or have the right to share.

13. Platform moderation and listing removal

We reserve the right to review, edit, suspend, or remove any listing at any time without notice if we believe it violates these Terms, our Community Guidelines, or applicable law. Moderation decisions are at our discretion. If your listing is removed and you believe this was in error, contact us through Help & Support.

14. Account suspension and ban

We may temporarily suspend or permanently ban accounts that violate these Terms, engage in fraudulent behaviour, or harm the marketplace community. Serious violations — such as fraud, illegal listings, or harassment — may result in immediate permanent removal without prior warning.

15. No warranty

Phirly is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. We make no warranty regarding the quality, accuracy, or completeness of any listing.

16. Limitation of liability

To the maximum extent permitted by applicable law, Phirly and its team shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use of the platform, any transaction between users, or any listing content. Our total liability in any case shall not exceed the greater of ₹1,000 or the amount you paid to us in the twelve months preceding the claim.

17. Third-party services

Phirly uses third-party services including Cloudinary for image hosting, Resend for email delivery, and Google Maps for location autocomplete. We are not responsible for the availability, accuracy, or privacy practices of these third-party services. Their respective terms and privacy policies apply to their use.

18. Governing law

These Terms are governed by the laws of India, including but not limited to the Information Technology Act, 2000 and the Consumer Protection Act, 2019, as applicable. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of India.
